Please read these Terms carefully before using the WoodBench OS website or software. By accessing this site or joining the waitlist you agree to be bound by them.
1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the WoodBench OS website at woodbenchos.comand, when released, the WoodBench OS desktop application (together, the “Service”). By using the Service, you agree to these Terms. If you do not agree, you must discontinue use immediately.
2. Description of Service
WoodBench OS is a Windows desktop application combining parametric cabinet CAD/CAM, CNC nesting, AI relief carving, and business management tools for professional woodworkers and cabinet shops. The software is currently in pre-launch development. Features described on this website represent intended functionality and are subject to change.
3. Waitlist
- Joining the waitlist does not constitute a purchase, reservation, or guarantee of access to the software.
- We reserve the right to modify, delay, or cancel the product at any time without obligation to waitlist members.
- Waitlist members will receive email communications about the product launch and major milestones. You may unsubscribe at any time.
4. Software License (Pre-Release)
When WoodBench OS is released, the following license terms will apply. By installing or using the software you agree to them:
- Personal / Commercial license — subject to the subscription or one-time purchase plan you select, we grant you a non-exclusive, non-transferable, revocable licence to install and use WoodBench OS on computers you own or control, for your own business purposes.
- Restrictions — you may not: sublicense, sell, or redistribute the software; reverse engineer, decompile, or disassemble it (except as permitted by applicable law); remove proprietary notices; or use it to develop a competing product.
- Updates — licence fees (if any) include updates released during the active subscription period. We may modify features, fix bugs, or deprecate functionality at our discretion.
5. User Accounts
When account features are introduced you are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorised access.
You must not share account credentials with anyone outside your licensed seat count.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Transmit any material that is unlawful, defamatory, obscene, fraudulent, or harmful.
- Attempt to gain unauthorised access to our systems or another user’s account.
- Distribute malware, spam, or any code designed to disrupt, damage, or gain unauthorised access to any system.
- Scrape, data-mine, or use automated means to access the website beyond normal browser use without our written consent.
7. Intellectual Property
All content on this website — including text, graphics, logos, icons, and software — is the property of WoodBench OS or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Your content — files, designs, G-code, and projects you create with WoodBench OS remain entirely your property. We claim no ownership over your work product.
8. Third-Party Services
WoodBench OS may integrate with or link to third-party services (e.g., CNC machine controllers, cloud storage, accounting software). We are not responsible for the content, policies, or practices of any third-party service. Your use of such services is governed by their own terms.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
CNC operations carry inherent risk. G-code and toolpaths generated by WoodBench OS should always be verified by a qualified operator before running on any machine. WoodBench OS accepts no liability for damage to equipment, workpieces, or injury arising from the use of generated toolpaths.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WOODBENCH OS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
11. Indemnification
You agree to indemnify and hold WoodBench OS harmless from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so, including Sections 7, 9, 10, and 11.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which WoodBench OS is incorporated, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the courts of that jurisdiction.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will post the revised Terms on this page with an updated date. For material changes, we will provide notice via email to registered users or a prominent notice on the website. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
15. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WoodBench OS regarding the Service and supersede all prior agreements relating to the subject matter.
